Terms & Conditions
These terms govern your use of BoardOS, a product operated by SkillEra IO, llc. Please read them carefully — by using the service you agree to them.

1. Agreement to these terms
BoardOS (the “Service”) is owned and operated by SkillEra IO, llc (“SkillEra IO, llc,” “we,” “us,” or “our”). By accessing or using the Service, creating an account, joining a shared board as a guest, or generating or sharing content, you (“you” or “User”) agree to be bound by these Terms & Conditions (the “Terms”). If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
2. Eligibility and accounts
You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Service. You are responsible for the security of your account and for all activity under it. You agree to provide accurate information and to keep it current. Guest (no-account) access to a shared board is limited and may be revoked or changed at any time by the board’s owner or by us.
3. Your content and data
You retain ownership of the boards, text, images, files, and other material you create or upload (“Your Content”). You grant us a limited, worldwide, non-exclusive license to host, store, reproduce, process, transmit, and display Your Content solely as needed to operate, secure, back up, and improve the Service and to provide collaboration and export features you use. This license ends when you delete Your Content or close your account, except for residual copies retained in routine backups for a limited period and content others have separately copied or that you have published publicly (see §8).
4. Acceptable use
You agree not to use the Service to:
- violate any law, or infringe the intellectual-property, privacy, or other rights of others;
- upload malware, or attempt to gain unauthorized access to the Service, other accounts, or our systems;
- post unlawful, defamatory, harassing, hateful, deceptive, or sexually exploitative material;
- scrape, harvest, or bulk-export data from the Service except through features we provide (such as your own board exports or the documented data API);
- resell, sublicense, or provide the Service to third parties except as expressly permitted, or use it to build a competing product.
We may investigate suspected violations and may suspend or terminate access to protect the Service and its users.
5. Plans, Pro features, and billing
Core whiteboarding is offered free. Certain professional features and collaboration capabilities (“Pro”) may require a paid plan. Pricing, billing cycles, and refund terms for paid plans, where offered, are presented at the point of purchase and in our Refund & Cancellation Policy, and are incorporated into these Terms. Taxes may apply. We may change pricing prospectively with notice.
6. Third-party services
The Service integrates optional third-party services (for example, authentication, media search, and embedded content). Your use of those integrations may be subject to the third party’s terms, and we are not responsible for third-party content or services. Media you insert from third-party providers (such as GIFs or stickers) is provided by and subject to the rights of those providers.
7. AI-generated content
The Service may offer features that use artificial intelligence to generate boards, layouts, text, summaries, or other output (“AI Output”) from prompts or content you provide (“Inputs”). By using these features you acknowledge and agree that:
- Accuracy is not guaranteed. AI Output may be inaccurate, incomplete, outdated, or offensive. It is generated automatically and is not reviewed by us. You are responsible for evaluating AI Output before relying on it, and you must not rely on it as legal, financial, medical, or other professional advice.
- Your responsibility. You are solely responsible for your Inputs and for how you use AI Output, including ensuring it is lawful and does not infringe the rights of others. Do not submit as Inputs any confidential, personal, or proprietary information you are not authorized to share.
- Ownership and license. As between you and us, you own the AI Output you generate for your own boards, subject to these Terms and to the rights of any third-party AI provider. AI Output may not be unique — similar output may be generated for other users.
- Permitted use. You may not use AI features to generate content that is unlawful, infringing, deceptive, or that violates §4, or to attempt to reverse-engineer, extract, or compete with the underlying models or the Service.
- Processing. To provide AI features we (and our AI providers acting on our behalf) process your Inputs and the resulting Output. We do not claim ownership of your Inputs.
8. Community sharing and public content
The Service lets you publish boards, templates, or other material to a public community area or otherwise make content available to other users (“Community Content”). Community sharing is optional. When you publish Community Content, you agree that:
- You have the rights. You represent and warrant that you own or have all necessary rights to the content and that it does not infringe any third-party rights or violate any law, and that it contains no confidential, personal, sensitive, or proprietary information you are not authorized to disclose.
- License you grant. You grant SkillEra IO, llc a worldwide, non-exclusive, royalty-free, sublicensable license to host, display, reproduce, distribute, and create derivative works of the Community Content for the purpose of operating and promoting the Service, and you grant other users a license to view, copy, and use the Community Content within the Service (for example, to instantiate a shared template). This license continues for content that others have copied even after you remove the original.
- No obligation; moderation. We are not obligated to publish, host, or retain any Community Content, and we may review, refuse, label, relocate, or remove it at our discretion, including content that violates these Terms.
- Feedback. If you send us suggestions or feedback, we may use them without restriction or obligation to you.
9. Our intellectual property and restrictions
The Service — including its software, source and object code, design, user interface, look and feel, graphics, glyph set, layouts, component library, text, documentation, and the BoardOSname and logo — is owned by SkillEra IO, llc or its licensors and is protected by copyright, trademark, trade-dress, and other laws. Except for the limited right to use the Service under these Terms, no rights are granted to you. In particular, you may not, and may not permit any third party to:
- copy, reproduce, republish, mirror, or frame any part of the Service or its design outside of features we provide;
- modify, translate, adapt, or create derivative works of the Service;
- reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, structure, or underlying ideas of the Service, except to the extent this restriction is prohibited by applicable law;
- scrape, crawl, or use automated means to extract the Service’s content, design, or data other than through documented features;
- remove or obscure any proprietary notice, or use our name, logo, or trademarks without our prior written permission;
- sell, rent, lease, sublicense, or otherwise commercialize the Service, or use it to build or train a competing product or service.

10. Copyright complaints
We respect intellectual-property rights and expect users to do the same. If you believe content on the Service infringes your copyright, send a notice with (a) your contact information, (b) identification of the work and the allegedly infringing material and its location, (c) a statement of good-faith belief that the use is unauthorized, (d) a statement, under penalty of perjury, that your notice is accurate and that you are authorized to act, and (e) your signature, to Kristopher.Penland@Skillera.io. We may remove allegedly infringing content and terminate repeat infringers.
11. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends; sections that by their nature should survive (including §§3, 7–9 and 12–15) will survive.
12. Disclaimers
The Service and all content are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any content (including AI Output) will be accurate or reliable.
13. Limitation of liability
To the maximum extent permitted by law, SkillEra IO, llc and its officers, members, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or relating to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amounts you paid us for the Service in the twelve months before the claim or one hundred U.S. dollars (USD $100).
14. Indemnification
You agree to indemnify and hold harmless SkillEra IO, llcfrom any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your Content, your Community Content, your Inputs or use of AI Output, your use of the Service, or your violation of these Terms or the rights of any third party.
15. Governing law and disputes
These Terms are governed by the laws of the United States and of the State of North Carolina, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in North Carolina for any dispute not subject to arbitration, and you waive any objection to venue there.
16. Changes to these terms
We may update these Terms from time to time. Material changes will be reflected by updating the “Last updated” date above and, where appropriate, by additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
